Terms and Conditions of Sale

1. Quotations are based on and orders will be accepted subject to the conditions set forth herein.
    
2. Prices and terms are subject to acceptance within ninety (90) days and thereafter are subject to change without notice. Deliveries are subject to confirmation at the time the firm order is place and accepted.
    
3. Prices quoted herein do not include any occupational sales, excise or use tax, either Federal or State, or any export taxes, fees, charges, war risk insurance, customs, duties, certificates or origin, wharfage, landing, entry or other export fees or charges.
    
4. Prices herein specified are applicable to the quantities as covered. Any change in quantity or elimination of one or more items may require a revision of the prices quoted.
    
5. All orders, whether in response to quotation or otherwise accepted for execution are contingent upon fires, floods, accidents, strikes, and other causes beyond our control.
    
6. Our best efforts are put forth to make delivery within the time estimated but failure to effect shipment as estimated will not be considered cause for cancellation or for claims arising from such delay.
    
7. All contracts, agreements and proposals are subject to approval by the Seller.
    
8. Stenographic and clerical errors are subject to correction.
    
9. This order may be cancelled only upon written notice to the Seller and is subject to reasonable and proper cancellation charges. A late payment charge of 1% per month (12% annual) will be charged on all past-due invoices. In the event of failure to pay any amount due on this invoice, all collection costs and/or attorney's fees incurred in the collection of any such amount will be paid by the customer.
    
10. We cannot be held liable for packages that are lost or damaged in transit to us, or products which have been damaged due to neglect, misuse, or tampering.
     
11. Returns will be accepted based on the the return policy specified by each manufacturer.  Returns must be received prior to the time limit specified by the manufacturer's return policy, so as to allow a reasonably sufficient time for Dalatec to return merchandise to the manufacturer within said time limits.
